A referral is any new company that signs up through your unique referral link. The cookie lasts 90 days, so if they visit now and sign up later, you still get credit.
If a referred customer receives a refund or files a chargeback, the associated commission is automatically reversed. If already paid out, the amount is deducted from your future earnings.
